1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Medfuel AI, Inc. ("Medfuel AI," "we," "us," or "our") governing your access to and use of the Medfuel AI website located at medfuelai.com, our AI-powered revenue cycle management platform, and all related services, tools, applications, and documentation (collectively, the "Service").
By accessing or using the Service, creating an account, or clicking "I Agree" or similar acceptance mechanism, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of the revised Terms.
2. Description of Service
Medfuel AI provides an AI-powered revenue cycle management ("RCM") platform designed to optimize and automate healthcare financial operations. The Service includes, but is not limited to, the following capabilities:
- Eligibility Verification: Automated real-time insurance eligibility checks and benefits verification to reduce claim rejections due to coverage issues.
- Claim Scrubbing: AI-driven pre-submission claim analysis that identifies coding errors, missing information, and compliance issues before claims are submitted to payers.
- Denial Management: Intelligent denial tracking, root cause analysis, and automated appeal generation to maximize recovery of denied and underpaid claims.
- Payment Posting: Automated remittance processing, payment reconciliation, and variance identification to accelerate cash flow and reduce manual data entry.
- Revenue Analytics: Comprehensive dashboards, predictive modeling, and actionable insights to identify revenue leakage and optimize financial performance.
The Service is made available on a Software-as-a-Service ("SaaS") subscription basis. Access to paid features and functionality is subject to a separate Subscription Agreement or Order Form executed between Customer and Medfuel AI, which shall govern the specific scope of services, pricing, and additional terms applicable to your subscription. In the event of a conflict between these Terms and a signed Subscription Agreement, the Subscription Agreement shall prevail with respect to the subject matter of the conflict.
Medfuel AI reserves the right to modify, update, or discontinue any aspect of the Service at any time. We will provide reasonable advance notice of any material changes that may adversely affect your use of the Service.
3. Account Registration
To access certain features of the Service, you must create an account. When registering for an account, you agree to the following obligations:
- Accurate Information: You must provide truthful, accurate, current, and complete information during the registration process, including your full name, email address, organization name, and any other required details. You agree to promptly update your account information to keep it accurate and current at all times.
- Account Security: You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password and any multi-factor authentication tokens. You agree to notify Medfuel AI immediately at info@medfuel.com if you suspect any unauthorized access to or use of your account. You are responsible for all activities that occur under your account, whether or not authorized by you.
- One Person Per Account: Each account is intended for use by a single authorized individual. Account credentials may not be shared with or used by multiple people. If your organization requires multiple user accounts, each individual must have their own separate account with unique credentials.
- Organizational Authorization: If you are registering on behalf of a healthcare organization, practice, or other entity, you represent and warrant that you are duly authorized by that organization to create the account, accept these Terms, and bind the organization to the obligations herein. Medfuel AI may request documentation verifying your authorization.
Medfuel AI reserves the right to suspend or terminate any account that we reasonably believe has been created with false information, is being shared among multiple individuals, or is being used in violation of these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes directly related to healthcare business operations, including but not limited to revenue cycle management, medical billing, claims processing, and related administrative functions. You shall not:
- Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms, or that violates any applicable local, state, national, or international law or regulation.
- Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, trade secrets, or underlying technology of the Service or any component thereof.
- Attempt to gain unauthorized access to any portion of the Service, other user accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.
- Intentionally or negligently overload, disrupt, or impair the Service infrastructure, including through denial-of-service attacks, excessive API calls beyond your rate limits, or any activity that degrades the performance or availability of the Service for other users.
- Upload, transmit, or distribute any viruses, worms, Trojan horses, ransomware, spyware, malware, or any other malicious or harmful code or files through the Service.
- Use the Service, or any data, insights, or outputs obtained through the Service, to directly or indirectly develop, market, or operate a product or service that competes with Medfuel AI or the Service.
- Sublicense, resell, lease, lend, or otherwise distribute access to the Service to any third party without Medfuel AI's prior written consent.
- Use the Service in any manner that violates the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), the Health Information Technology for Economic and Clinical Health ("HITECH") Act, or any other applicable federal, state, or local healthcare regulations, privacy laws, or data protection requirements.
- Remove, alter, or obscure any proprietary notices, labels, or marks on the Service or any materials provided through the Service.
Medfuel AI reserves the right to investigate and take appropriate action against any violation of this section, including but not limited to suspending or terminating your access to the Service, reporting violations to law enforcement authorities, and pursuing any available legal remedies.
5. Protected Health Information (PHI)
Medfuel AI recognizes the critical importance of protecting patient health information in compliance with applicable federal and state laws. The following terms govern the handling of Protected Health Information ("PHI") as defined under HIPAA:
- Business Associate Agreement: The processing, storage, transmission, and handling of PHI through the Service is governed by a separate Business Associate Agreement ("BAA") between Customer and Medfuel AI. A fully executed BAA must be in place before any PHI is transmitted to, processed by, or stored within the Service. You agree not to submit any PHI to the Service until a BAA has been executed by both parties.
- Customer as Covered Entity: For purposes of HIPAA and the BAA, Customer is the Covered Entity (or Business Associate of a Covered Entity) and retains all obligations, responsibilities, and liabilities of a Covered Entity with respect to PHI, including but not limited to obtaining any required patient authorizations and maintaining appropriate privacy and security safeguards.
- Medfuel AI as Business Associate: Medfuel AI acts as a Business Associate under HIPAA with respect to any PHI received from or on behalf of Customer through the Service. Medfuel AI will use and disclose PHI only as permitted by the BAA and applicable law.
- Mutual HIPAA Compliance: Both parties agree to comply with all applicable requirements of the HIPAA Privacy Rule, Security Rule, Breach Notification Rule, and the HITECH Act, as each may be amended from time to time. Each party shall maintain appropriate administrative, physical, and technical safeguards to protect the confidentiality, integrity, and availability of PHI.
- Breach Notification: In the event of a breach of unsecured PHI, Medfuel AI will notify Customer in accordance with the timelines and procedures set forth in the BAA and applicable law. Customer remains responsible for providing any required notifications to affected individuals and regulatory authorities as required under HIPAA.

6. Intellectual Property
The following terms govern intellectual property rights with respect to the Service and content processed through it:
- Medfuel AI Property: The Service, including but not limited to the platform, software, AI models, machine learning algorithms, neural networks, data processing pipelines, user interface designs, documentation, trade names, trademarks, service marks, logos, and all associated intellectual property, are and shall remain the exclusive property of Medfuel AI and its licensors. These Terms do not grant you any ownership interest in the Service. All rights not expressly granted herein are reserved by Medfuel AI.
- Customer Data Ownership: You retain all right, title, and interest in and to your data, including all patient data, financial records, claims data, and other information you submit to or generate through the Service ("Customer Data"). Nothing in these Terms transfers ownership of Customer Data to Medfuel AI.
- License to Use the Service: Subject to your compliance with these Terms and any applicable Subscription Agreement, Medfuel AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the term of your active subscription solely for your internal healthcare business operations.
- AI-Generated Insights: All reports, analytics, recommendations, predictions, and other outputs generated by the Service using your Customer Data ("AI-Generated Insights") belong to you. Medfuel AI retains no ownership claim over AI-Generated Insights specific to your data. However, Medfuel AI may use aggregated, de-identified, and anonymized data to improve the Service and its AI models, provided such data cannot reasonably be used to identify any individual patient or Customer.
- Feedback: If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant Medfuel AI a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to you.
7. Service Level and Availability
Medfuel AI is committed to providing reliable and consistent access to the Service. The following terms govern service availability:
- Uptime Target: Medfuel AI targets 99.9% uptime for the Service, measured on a monthly basis, excluding scheduled maintenance windows and events outside of our reasonable control. Specific service level commitments, remedies, and service credits, if any, are set forth in your Subscription Agreement.
- Scheduled Maintenance: We will provide reasonable advance notice (typically at least 48 hours) of planned maintenance windows that may affect Service availability. Whenever possible, scheduled maintenance will be performed during off-peak hours to minimize disruption to your operations.
- No Guarantee of Uninterrupted Service: While we strive to maintain the highest levels of availability, Medfuel AI does not guarantee that the Service will be available at all times or that access will be uninterrupted, timely, secure, or error-free. The Service may be temporarily unavailable due to maintenance, upgrades, system failures, or other circumstances.
- Force Majeure: Medfuel AI shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent that such failure or delay is caused by events beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, government actions, power outages, telecommunications failures, internet service provider failures, cyberattacks, or any other event that could not have been reasonably foreseen or prevented ("Force Majeure Event"). In the event of a Force Majeure Event, Medfuel AI will use commercially reasonable efforts to resume performance as soon as practicable.
8. Payment Terms
The following terms govern payment for the Service:
- Subscription Fees: Fees for the Service are as set forth in your signed Subscription Agreement or Order Form. Unless otherwise specified, all fees are quoted in United States Dollars (USD) and are exclusive of applicable taxes, duties, or governmental assessments.
- Payment Due Dates: Payment is due in accordance with the invoice terms specified in your Subscription Agreement. Unless otherwise agreed in writing, invoices are due within thirty (30) days of the invoice date. You agree to provide valid and updated payment information and authorize Medfuel AI to charge your designated payment method for all applicable fees.
- Late Payments: Overdue payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. If your account is more than thirty (30) days past due, Medfuel AI reserves the right to suspend your access to the Service upon fifteen (15) days' written notice. Suspension of the Service due to non-payment does not relieve you of your obligation to pay all outstanding fees.
- Non-Refundable Fees: All fees are non-refundable once paid, unless expressly stated otherwise in your Subscription Agreement or required by applicable law. This includes fees for partial subscription periods, unused features, or early termination, unless a specific refund provision is included in your Subscription Agreement.
- Taxes: You are responsible for all applicable sales, use, value-added, withholding, and other taxes and governmental charges associated with your use of the Service, excluding taxes based solely on Medfuel AI's net income.
9. Data Handling
Medfuel AI takes the security and proper handling of your data seriously. The following terms govern data processing, retention, and deletion:
- Data Processing: Customer Data is processed in accordance with our Privacy Policy, which is incorporated into these Terms by reference, and any applicable BAA. Medfuel AI employs industry-standard administrative, technical, and physical safeguards, including encryption at rest and in transit, to protect your data against unauthorized access, use, alteration, or destruction.
- Data Export on Termination: Upon termination or expiration of your subscription for any reason, you will have a thirty (30) day window to export your Customer Data from the Service. Medfuel AI will provide reasonable assistance and standard export formats to facilitate the transition. You are responsible for initiating and completing any data export during this period.
- Secure Deletion: Following the expiration of the thirty (30) day data export window, Medfuel AI will securely delete or de-identify all Customer Data from our active systems within a commercially reasonable timeframe, typically no more than ninety (90) days. Residual copies in backup systems will be overwritten in accordance with our standard backup rotation schedules. Deletion of PHI will be performed in accordance with the applicable BAA.
- Data Ownership: You own all Customer Data at all times. Medfuel AI does not acquire any ownership rights in your Customer Data by virtue of your use of the Service. We will not access, use, or disclose your Customer Data except as necessary to provide the Service, comply with applicable law, or as otherwise authorized by you in writing.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Exclusion of Indirect Damages: In no event shall Medfuel AI, its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, goodwill, data, or other intangible losses, arising out of or in connection with your use of or inability to use the Service, even if Medfuel AI has been advised of the possibility of such damages.
- Cap on Liability: Medfuel AI's total cumulative liability to you for all claims arising out of or related to these Terms or the Service, whether in contract, tort (including negligence), strict liability, or any other legal theory, shall not exceed the total fees actually paid by you to Medfuel AI during the twelve (12) months immediately preceding the event giving rise to the claim.
- Not a Substitute for Professional Judgment: The Service is a technology tool designed to assist healthcare organizations with revenue cycle management operations. It is not intended to be, and shall not be construed as, a substitute for professional medical judgment, clinical decision-making, certified medical coding expertise, or licensed billing consultation. You are solely responsible for verifying the accuracy and appropriateness of all outputs, recommendations, and actions taken based on the Service.
- No Revenue Guarantees: While the Service is designed to optimize revenue cycle performance, Medfuel AI does not guarantee any specific financial outcomes, revenue improvements, collection rates, denial reduction percentages, or return on investment. Past performance metrics, case studies, and projections presented in marketing materials are illustrative only and do not constitute guarantees of future results.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Medfuel AI's liability shall be limited to the greatest extent permitted by applicable law.
11. Indemnification
Customer Indemnification: You agree to indemnify, defend, and hold harmless Medfuel AI, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law, regulation, or third-party right, including HIPAA; (c) any Customer Data you submit to the Service; or (d) your negligence or willful misconduct.
Medfuel AI Indemnification: Medfuel AI agrees to indemnify, defend, and hold harmless Customer from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to: (a) any claim that the Service, as provided by Medfuel AI, infringes or misappropriates a third party's valid intellectual property rights; or (b) Medfuel AI's material breach of these Terms or any applicable BAA, provided that Medfuel AI shall have no indemnification obligation to the extent the claim arises from Customer's unauthorized use or modification of the Service.
The indemnified party shall: (i) provide prompt written notice of the claim; (ii) grant the indemnifying party sole control over the defense and settlement of the claim; and (iii) provide reasonable cooperation and assistance at the indemnifying party's expense. The indemnifying party shall not settle any claim in a manner that imposes obligations on the indemnified party without the indemnified party's prior written consent.
12. Termination
The following terms govern the termination of your access to the Service:
- Termination for Convenience: Either party may terminate these Terms and the associated subscription by providing the other party with at least thirty (30) days' prior written notice. Termination for convenience shall be effective at the end of the then-current billing period following the expiration of the notice period, unless otherwise agreed in your Subscription Agreement.
- Termination for Cause: Either party may terminate these Terms immediately upon written notice if the other party: (a) commits a material breach of these Terms and fails to cure such breach within fifteen (15) days after receiving written notice specifying the breach; (b) becomes insolvent, files for bankruptcy, or has a receiver appointed for a substantial portion of its assets; or (c) ceases to operate in the ordinary course of business.
- Data Export Period: Upon termination for any reason, Customer shall have thirty (30) days from the effective date of termination to export all Customer Data from the Service as described in Section 9 (Data Handling). Following this period, Medfuel AI will proceed with secure deletion of Customer Data in accordance with its standard procedures.
- Effect of Termination: Upon termination, your right to access and use the Service shall immediately cease. You must discontinue all use of the Service and destroy any copies of Medfuel AI's proprietary materials in your possession.
- Surviving Provisions: The following sections shall survive the termination or expiration of these Terms: Section 6 (Intellectual Property), Section 10 (Limitation of Liability), Section 11 (Indemnification), Section 13 (Governing Law), Section 14 (Dispute Resolution), and any other provisions that by their nature are intended to survive termination.
13. Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, formation, interpretation, or enforceability (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. Any legal proceedings arising out of or related to these Terms that are not subject to binding arbitration under Section 14 shall be brought exclusively in the federal or state courts located in the State of Delaware, and the parties hereby consent to the personal jurisdiction and venue of such courts.
14. Dispute Resolution
Good Faith Negotiation: In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute"), the parties agree to first attempt to resolve the Dispute through good faith negotiation. The party raising the Dispute shall provide written notice to the other party describing the nature of the Dispute and the relief sought. The parties shall endeavor to resolve the Dispute within thirty (30) days from the date of such notice through direct discussions between authorized representatives of each party.
Binding Arbitration: If the Dispute cannot be resolved through good faith negotiation within the thirty (30) day period, the Dispute shall be submitted to and finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator with experience in technology and healthcare matters, mutually agreed upon by the parties. The seat of arbitration shall be Wilmington, Delaware. The arbitrator's decision shall be final and binding, and judgment on the award rendered may be entered in any court of competent jurisdiction. Each party shall bear its own attorneys' fees and costs, unless the arbitrator determines otherwise. The arbitration proceedings and any award shall be kept confidential by both parties, except as required by applicable law.
Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or PHI security obligations without first engaging in the negotiation and arbitration procedures described above.
15. Changes to Terms
Medfuel AI reserves the right to modify, amend, or update these Terms at any time at its sole discretion. For material changes that adversely affect your rights or obligations, we will provide at least thirty (30) days' advance written notice prior to the effective date of such changes. Notice may be provided by email to the address associated with your account, through an in-platform notification, or by posting a prominent notice on our website at medfuelai.com.
Non-material changes, such as corrections of typographical errors, formatting updates, or clarifications that do not substantively alter your rights or obligations, may be made at any time without advance notice. The "Last updated" date at the top of these Terms will reflect the date of the most recent revision.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service before the changes take effect and may terminate your subscription in accordance with Section 12.
